Job Description:
The Tax Director will be responsible for overseeing all
Clubessential Holdings and its subsidiary entities tax policies,
objectives, and reporting requirements. The ideal candidate will
have a broad understanding of many corporate tax matters including
partnership income, corporate income, pass-through entity, state &
local income, sales & use, nexus requirements, income apportionment
methodologies, transfer pricing regulations, R&D tax credits,
and estimated tax payments. They will direct and manage the
relationship with Clubessential Holdings' external tax advisory
teams by planning, monitoring, and reporting all tax activities to
ensure compliance with applicable tax statutes, nexus requirements,
and filing deadlines. The tax director will ensure accuracy of tax
returns and implement tax strategies to minimize the company's tax
obligations and exposure.
Primary Responsibilities:
- Manage the relationship with external tax advisors for all tax
compliance, income tax provision, and tax consulting
engagements.
- Consult with external tax advisors to provide strategic
direction, technical guidance, and implement strategies to minimize
the company's overall tax exposure and liability.
- Interface with the Clubessential Holdings private equity owners
on all tax-related matters.
- Work closely with FP&A to provide tax rates and cash tax
estimates for forecasting purposes.
- Advise management of the impact of new tax laws and proposed
legislation.
- Research and pursue tax refunds, credits and incentives to
minimize the company's tax liability.
- Analyze invoices and company financial statements to determine
how transactions should be taxed. Assist business unit controllers
with administrating the Avalara sales tax business rules.
- Review quarterly tax provisions and tax computations from
external tax compliance team.
- Review tax returns and related documents to ensure compliance
with federal, state and international laws. Authorize the payment
of taxes and penalties due.
- Commission and review transfer pricing studies between legal
entities to minimize tax exposure.
- Oversee preparation of worldwide transfer pricing
documentation, including master file, local files, and country by
country reporting.
- Be the point person for all tax items related to the
business.
- Research and respond to notices and audits from various federal
and state agencies
- Maintain current knowledge of tax laws, including updates and
changes, especially on matters that impact the SaaS and payments
industries.
- Review and provide tax inputs on business proposals and
negotiate tax clauses within legal agreements with a view to
protecting against tax inefficiencies. Education and Experience
Requirements:
- Bachelor's degree in accounting. Master's degree in tax with a
JD and/or CPA preferred, but not required. Minimum of 10 years of
relevant experience, preferably in a corporate or tax advisory firm
capacity.
- Strong knowledge of corporate income taxes, indirect taxes, and
transfer pricing tax concepts, practices, and procedures.
- Excellent communication skills in both verbal and written
formats, communicating in a clear, concise, and professional
manner, especially when dealing with taxing authorities, private
equity owners, and senior stakeholders within the
organization.
- Willingness to 'roll-up your sleeves' and engage in the details
to obtain or analyze information.
- Effective analytical, problem-solving, and statistical
skills.
- Ability to utilize judgment in decision-making processes and
risk assessment.
- Attention to detail without losing sight of the big
picture.
- Ability to multitask, prioritize, manage external advisors /
projects / workflows.
